Welcome to Skillsure.co.nz! These Terms and Conditions (“Terms”) govern your use of our website and the services we offer. By accessing or using Skillsure.co.nz (the “Website”), registering for an account, and/or purchasing any of our courses or services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Website or services.


1. About Skillsure.co.nz

Skillsure.co.nz (“we”, “us”, or “our”) provides online courses and skill development programs, primarily focused on the HVAC industry. Our services include general website content, online course offerings, and a secure members-only area which provides access to specialized design and selection software to support HVAC professionals.


2. Acceptance of Terms

Your access to and use of the Website and services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Website or services.


3. General Website Use

This section applies to all visitors accessing the public areas of Skillsure.co.nz.

3.1. Permitted Use

You agree to use Skillsure.co.nz only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Website.

3.2. Prohibited Conduct

Prohibited conduct includes, but is not limited to:

  • Posting or transmitting any unlawful, defamatory, obscene, offensive, or otherwise objectionable content.
  • Engaging in any conduct that could damage, disable, overburden, or impair our Website.
  • Attempting to gain unauthorized access to any part of the Website, accounts, computer systems, or networks connected to our servers.
  • Using automated means, including spiders, robots, or data mining tools, to download data from the Website.

3.3. Intellectual Property (General)

All content on the public areas of the Website, including text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Skillsure.co.nz or its content suppliers and is protected by New Zealand and international copyright laws. This content is for general informational purposes only.


4. User Accounts and Member Area Access

This section applies specifically to registered users and members accessing secure areas of the Website, including those utilizing the HVAC design and selection software.

4.1. Account Registration

To access certain features, purchase courses, or enter the secure member area (including the HVAC design and selection software), you may be required to register for an account. You agree to provide accurate, complete, and current information during the registration process and to update such information to keep it accurate, complete, and current.

4.2. Account Security

You are responsible for maintaining the confidentiality of your account login information (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4.3. Eligibility

You must be at least 18 years old to create an account and use our services. By creating an account, you represent and warrant that you meet this age requirement.

4.4. Access to Secure Content (HVAC Software)

Upon successful registration and/or course booking where applicable, members will be granted access to the secure area of the Website, which includes the HVAC design and selection software. Un-registered visitors cannot access this content. This access is provided for your personal, non-commercial use as part of your professional development within the HVAC industry, or for the business entity that booked the training.

4.5. Use of HVAC Design and Selection Software

The HVAC design and selection software provided in the member area is a tool to support professionals in the HVAC industry.

  • Disclaimer: While we strive for accuracy, Skillsure Ltd makes no warranties or representations regarding the accuracy, completeness, or suitability of the software’s outputs. The software is provided “as is” and its use is at your own risk. You are solely responsible for verifying any design, selection, or calculation results generated by the software before implementing them in real-world applications.
  • No Professional Advice: The software does not constitute professional engineering, design, or any other professional advice. It is a tool to assist, not replace, the expertise and judgment of qualified professionals.
  • Licensing: Your access to and use of the software is non-transferable and is granted solely to the registered account holder or the approved delegate of the booking entity.
  • Prohibited Use: You may not attempt to reverse engineer, decompile, disassemble, modify, create derivative works from, or otherwise exploit the software. You may not distribute, sublicense, rent, lease, or otherwise transfer the software or access to it to any third party.

5. Course Booking Terms & Conditions

Effective from August 1st 2020. Please note these ‘Terms and Conditions’ may be subject to change without notice.

5.1. Booking

For current course costs and dates, please refer to our website. Before booking onto a course, please ensure you have read the course content, to ensure the course will meet your training needs and that you are able to meet pre-requisites, where stated.

In particular it must be understood that each delegate attending the Refrigerant Fillers courses would require refrigeration industry knowledge and be familiar with general refrigeration tools and practice. Each attendee would be described at least as working in a refrigeration or air conditioning technician role or is likely to be following the course.

If a course registration/booking form is completed by an individual other than the named candidate, it is the responsibility of the employer to ensure the candidate is suitable for the course and has the relevant experience.

Upon receipt of your booking form, and subsequent payment, your place(s) will be confirmed.

Important note: Skillsure Ltd acceptance of your booking brings into existence a legally binding contract between us on these terms and conditions. Any term sought to be imposed by you in any purchase order or correspondence will not form part of the contract.

5.2. Invoicing and Payment

Course fees are payable upon booking. We use Stripe as an exclusive payment method; it provides secure credit card payment options. Stripe is widely respected throughout the world as one of the most secure online payment methods available. Your credit card details are kept secure. Paid Invoices will be sent via email to the name and address provided on the booking form.

Payment must be made in New Zealand Dollars (NZD) using the Stripe payment system provided.

Where indicated, an option may be provided to pay on your account if the training is being provided at certain venues where you may hold an account.

5.3. Course Attendance and Certification

Candidates will receive joining instructions via email to the email address provided on the booking form.

It is the responsibility of the individual completing the course registration/booking form to ensure joining instructions are received by the candidate. Instructions will be sent via email to the email address provided on the booking form.

If the joining instructions are not received, it is the responsibility of the individual who completed the course registration/booking form to contact Skillsure Ltd to arrange for them to be reissued.

Failure to attend the course will result in the full cost being incurred.

Skillsure will send all correspondence primarily via email to the email address provided on the booking form.

No certificate(s) shall be issued if for any reason payment is not received by any delegate attending training.

It may be necessary, for reasons beyond the control of Skillsure, to change the content and timing of the program, the date, the venue or the tutor.

5.4. Cancellations and Amendments

All requests for cancellations and/or transfers must be completed before the date and time allowed on each course; this is displayed at the booking form for each course and will vary.

Failure to attend a booked course will result in a full charge for the event. No refund is given if no cancellation is made within the allowed time.

In the event that an individual named on the booking form cannot attend, we will accept substitution of another delegate on the condition that written notification of the substitution has been received by us prior to the course date and an administration fee of $50 plus GST has been paid.

Delegates are only permitted one course transfer or substitution per booking. After this, the full fee will be charged.

In the event of there being insufficient numbers booked onto a course, Skillsure Ltd reserves the right to cancel or postpone the course.

In the event of cancellation of a course by Skillsure Ltd, we will endeavour to inform all participants a week before the course is due to take place, although please be aware that this is not always possible. All course fees paid will be reimbursed in full, or the payment will be transferred in full to another Skillsure Ltd course. Skillsure Ltd shall not accept liability for any consequential loss and shall have no liability to reimburse any other costs that may have been incurred, including transport costs, accommodation etc.

5.5. Extenuating Circumstances

If you are unable to attend any of the course due to extenuating circumstances you must inform Skillsure Ltd in writing.

If you were unable to attend due to illness you must provide evidence in the form of a doctor’s note.

5.6. Force Majeure

Skillsure Ltd shall not be liable to refund of fees or for any other penalty should courses be cancelled due to war, fire, strike lock-out, industrial action, tempest, accident, civil disturbance or any other cause whatsoever beyond their control.


6. General Legal Provisions

6.1. Disclaimer of Warranties

The Website and services (including the HVAC design and selection software) are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the functions contained in the Website will be uninterrupted or error-free, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or other harmful components.

6.2. Limitation of Liability

In no event shall Skillsure.co.nz, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or services; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

6.3. Indemnification

You agree to defend, indemnify, and hold harmless Skillsure.co.nz and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Website and services, by you or any person using your account and password; b) a breach of these Terms; or c) content posted on the Website.

6.4. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

6.5. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website or services after those revisions become effective, you agree to be bound by the revised terms.


Entire Agreement

These terms and conditions, together with the current Skillsure Ltd website prices, course details and Skillsure Ltd contact details, set out the whole of our agreement relating to the supply of the course and associated materials and services to you by Skillsure Ltd. These terms and conditions cannot be varied except in writing signed by a Director of Skillsure Ltd. In particular, no terms and conditions incorporated within your purchase agreement and nothing said by any person on behalf of Skillsure Ltd should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods or services offered for sale by Skillsure Ltd. Skillsure Ltd shall have no liability for any such representation being untrue or misleading.
